Welcome to Agent On Demand ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, AI voice agents, AI chat agents, automation tools, software platform, APIs, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of yourself or your organization. By using our Services, you represent and warrant that you meet these requirements.
2. Our Services
Agent On Demand provides AI-powered business automation solutions, which may include: AI Voice Agents, AI Chat Agents, Appointment Scheduling, Lead Qualification, Customer Support Automation, Call Routing, CRM Integrations, SMS and Email Automation, Workflow Automation, Analytics and Reporting, API Access, and Industry-specific AI solutions. Service availability may vary depending on your subscription plan.
3. Account Registration
To access certain features, you may be required to create an account. You agree to: Provide accurate and complete information; Keep your account information updated; Maintain the confidentiality of your login credentials; Be responsible for all activity occurring under your account; and Notify us immediately of any unauthorized access.
4. Acceptable Use
You agree not to use our Services to: Violate any applicable law or regulation; Impersonate another individual or organization; Transmit unlawful, fraudulent, defamatory, abusive, or harmful content; Send spam or unsolicited communications; Engage in harassment or discrimination; Interfere with the security or operation of the Services; Attempt unauthorized access to our systems; Upload malware, viruses, or malicious code; or Reverse engineer, copy, or exploit our software except as permitted by law. We reserve the right to suspend or terminate accounts that violate these Terms.
5. AI Services Disclaimer
Our AI agents use machine learning and artificial intelligence to generate responses and automate communications. While we strive for accuracy, AI-generated responses may occasionally contain errors, omissions, or inaccurate information. You acknowledge that: AI responses are automated; AI outputs should be reviewed where appropriate; Agent On Demand does not guarantee that AI-generated content will always be accurate, complete, or suitable for every situation; and You remain responsible for business decisions and customer communications.
6. Call Recording and Consent
Our Services may include call recording, transcription, and AI analysis. You are solely responsible for: Obtaining all legally required consents; Complying with local, state, federal, and international call recording laws; and Informing callers when recording is required by law. Agent On Demand is not responsible for your compliance with applicable recording or privacy laws.
7. Third-Party Services
Our platform may integrate with third-party providers, including: CRM systems, Calendar platforms, Payment gateways, Telephony providers, Email services, SMS providers, and Cloud hosting services. We are not responsible for the availability, security, or performance of third-party services. Your use of those services is governed by their own terms and policies.
8. Fees and Payment
Certain Services require payment. By subscribing, you agree to: Pay all applicable fees; Maintain valid payment information; Authorize recurring billing where applicable; and Pay any taxes required by law. Unless otherwise stated: Subscription fees are billed in advance; and Fees are non-refundable except where required by law or expressly stated in a separate agreement. Failure to make timely payments may result in suspension or termination of Services.
9. Intellectual Property
All content, software, technology, trademarks, logos, graphics, documentation, and platform features are the exclusive property of Agent On Demand or its licensors. Nothing in these Terms transfers ownership of any intellectual property rights. You may not copy, reproduce, distribute, modify, or create derivative works without our prior written consent.
10. Customer Data
You retain ownership of the data, content, recordings, and information you provide to our platform. You grant Agent On Demand a limited license to process your data solely to: Deliver the Services; Improve platform functionality; Maintain system security; and Comply with legal obligations. Our handling of personal information is governed by our Privacy Policy.
11. Service Availability
We strive to provide reliable and uninterrupted Services. However, we do not guarantee continuous availability and may experience interruptions due to: Scheduled maintenance, Software updates, Network failures, Third-party outages, Security incidents, or Events beyond our reasonable control.
12. Limitation of Liability
To the maximum extent permitted by law, Agent On Demand, its affiliates, officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities arising from your use of the Services. Our total liability for any claim relating to the Services shall not exceed the amount you paid to Agent On Demand during the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Agent On Demand, its affiliates, employees, officers, directors, and partners from any claims, damages, liabilities, losses, costs, or expenses arising out of: Your use of the Services; Your violation of these Terms; Your violation of any applicable law; Content or data you submit to the platform; or Your failure to obtain legally required customer consents.
14. Suspension and Termination
We may suspend or terminate your account immediately if: You violate these Terms; Payment obligations are not met; Fraudulent or illegal activity is suspected; or Your use threatens platform security or stability. Upon termination, your right to use the Services ends immediately.
15. Confidentiality
Both parties agree to protect confidential information exchanged during the use of the Services and not disclose it to unauthorized third parties, except as required by law or with prior written consent.
16. Force Majeure
Agent On Demand shall not be liable for delays or failures resulting from events beyond our reasonable control, including natural disasters, internet outages, labor disputes, government actions, pandemics, cyberattacks, or failures of third-party providers.
17. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the jurisdiction specified in your service agreement or, if none is specified, the jurisdiction in which Agent On Demand is established, without regard to conflict of law principles.
18. Changes to These Terms
We may update these Terms from time to time. Updated versions will be posted on our website with a revised Effective Date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
